These terms apply when you use closewell.in or buy a Closewell plan. Closewell is a brand of HRM Global, a sole proprietorship of Swapnil Madhav Mundada, 2594 A, M G Road, Bajarpeth, Mahad, Raigad, Maharashtra 402301, GSTIN 27BUWPM1909H1Z5 ("we", "us"). By signing up or paying for a plan you agree to these terms and to the engagement letter for your plan. If the two differ, the engagement letter wins.
1. What we do
- Record, categorise and reconcile your business transactions each month, in your Tally or Zoho Books file or in our software.
- Prepare monthly financial statements for your own management use.
- On plans that include it, prepare GST returns (GSTR-1 and GSTR-3B), match input tax credit with GSTR-2B, work out TDS and prepare data for TDS statements.
- On CFO plans, prepare cash forecasts, budgets and management reports, and meet with you as the plan describes.
2. What we do not do
- We are not a firm of Chartered Accountants or CPAs. We do not perform audits, reviews, compilations, tax audits or any other attestation work.
- We do not prepare or file income-tax returns and we do not give tax, legal or investment advice.
- We never make payments, hold your money or operate your bank accounts. You pay taxes and suppliers from your own accounts.
- We file a return on a government portal only with your confirmation and only where the law allows us to do so for you, for example as your authorised GST practitioner. Until then, you or your CA file.
3. Your responsibilities
- Give us complete and accurate statements, invoices, bills and answers, on time. Our monthly close starts once we have them.
- Review and confirm every return and statement before it is filed or used. You remain responsible for your tax filings and payments.
- Keep the original records the law requires you to keep.
- Keep your logins safe and tell us if you think your account has been misused.
4. Fees and payment
- Plan fees are charged monthly in advance (or yearly, if you choose), plus GST at the applicable rate, through our payment partner Razorpay.
- Prices are shown on our website or in your quote. We give at least 30 days' notice before changing the price of your plan.
- Catch-up work for past months is quoted separately and is payable before we start.
- If a payment fails and is not made within 7 days, we may pause work until it is.
5. Cancelling
Plans run month to month. You can cancel at any time before your next billing date and you will not be charged again. Refunds follow our refund and cancellation policy. We may end the service with 30 days' written notice, or immediately if you breach these terms or ask us to do something unlawful. When the service ends, we give you an export of your books.
6. Your data
Your books and documents belong to you. We use them only to provide the service, as our privacy policy explains, and keep them confidential.
7. Liability
We do our work with reasonable care and skill. To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the three months before the claim arose. We are not responsible for interest, late fees or penalties that result from information you gave us late, incompletely or inaccurately, or from returns you did not confirm in time. Nothing in these terms limits liability that cannot be limited by law.
8. Changes to these terms
We may update these terms. We will email you about material changes at least 15 days before they take effect.
9. Law and disputes
These terms are governed by the laws of India. Courts at Raigad, Maharashtra have exclusive jurisdiction. Before going to court, we will both try to resolve a dispute by talking in good faith for at least 30 days.
